Eligibility
Contest is available globally for all users. Only one submission per user will be considered for judgement, and may be eligible for a prize. If multiple tracks are submitted, only the most recent track will be judged. Songs must be published with the tag “#UdioHolidays2024” to be considered for entry, between the dates of December 18th, 2024 through January 1st, 2025. Songs not eligible for publishing (including those created using audio uploads) unfortunately cannot be included at this time. Please see official contest terms below for full details.

Theme
The winter holidays! Users can draw inspiration from any holidays or celebrations that take place in December or January, and their related themes. They can also focus on seasonal elements, if preferred.
Steps for Entry
Create your song, following the contest’s theme
Once you’ve gotten a final version that you’re happy with and want to submit, navigate to the song’s details page (by clicking on its title) and then click “Edit”
Add the tag “#UdioHolidays2024” under the “Tags” section
Save the changes, then publish your song
That’s it — your song is entered. If you’d like to update your submission, please remove the tag from your original song and then add it to your new one

These Holiday Song Challenge Official Rules (these “Rules”) apply to the 2024 Holiday Song Challenge being offered by Uncharted Labs, Inc. (“Company”, “we” or “us”) that you enter into or participate in through the Services (the “Challenge”). Your entry or participation in the Challenge through the Services constitutes your acceptance of these Rules. These Rules supplement our general Terms of Service available at https://www.udio.com/terms-of-service (the “General Terms”), which also apply to the Challenge. These Rules are incorporated by reference into, and form a part of, the General Terms. In the event of a conflict between the terms of these Rules and the General Terms, these Rules will supersede and control but only with respect to the Challenge and only to the extent of such conflict. All capitalized terms used but not defined in these Rules have their respective meanings set forth in the General Terms. The Challenge will be considered part of the definition of “Services” for purposes of the General Terms.
THE GENERAL TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER, WHICH APPLY TO THE CHALLENGE AND ANY DISPUTE ARISING OUT OF THESE RULES. YOU HAVE THE RIGHT TO OPT-OUT OF THE ARBITRATION CLAUSE AND THE CLASS ACTION WAIVER AS EXPLAINED IN THE GENERAL TERMS.
Overview: You may be eligible to participate in the Challenge that we offer through the Services. Winning participants that successfully complete the Challenge and its criteria may be eligible to receive a reward or prize related to such Challenge (“Rewards”). No purchase is necessary to participate, and purchasing any item or service from the Company will not increase your chances of winning. The Challenge is void where prohibited by applicable law. The Challenge begins at 12:00 p.m. P.D.T. on December 18, 2024 and ends at 11:59 p.m. P.D.T. on January 1, 2025 (“Challenge Period”).
How to Enter: You may enter the Challenge during the Challenge Period on udio.com by (1) first, accessing the song details for a song that you have generated as an Output on the Services ("Song"), (2) second, clicking "Edit" on such Song details, adding the tag "#UdioHolidays2024" to such Song and saving your changes, and (3) finally, publishing your Song via the Services to make it publicly available ("Entry"). Your Entry must be published during the Challenge Period and be in compliance with our General Terms in order to be an eligible Entry and eligible for any Reward. Only one (1) Entry is permitted per person. If you designate more than one Song during the Challenge Period, your most recent Song with such tag will be considered your Entry. Please make sure to remove the "#UdioHolidays2024" tag from any other Songs other than the Song you want to be your Entry.
Eligibility to Participate in the Challenge: Employees, officers, and directors of the Company, its affiliates and its advertising and promotion agencies, and their immediate family members and persons living in their same household, are not eligible to participate in the Challenge or win Rewards. You may also not participate in the Challenge where prohibited by applicable law. If we determine you do not satisfy the eligibility requirements or are violating Challenge guidelines or otherwise abusing our Services, we may prevent or cancel your Entry to the Challenge.
Challenge Criteria: Winners of the Challenge will be chosen by Udio Staff from all eligible Entries according to certain factors we determine, including song quality and originality, your incorporation of the themes of holidays and/or the winter season into your Song, and your Song’s number of plays and likes during the Challenge Period, based on our procedures and calculations (“Challenge Criteria”). The top three (3) Entries will be rank ordered according to the Challenge Criteria. We may exclude any activity that we determine artificially increases the number of plays or likes of the Song related to an Entry, including, but not limited to, any such plays or likes (i) generated by any bot, automated program or similar device, or (ii) generated by payment of money or other inducements to third parties. You agree that our decisions on all matters relating to the Challenge, Challenge Criteria and these Rules are final, non-appealable and binding, and will be made in our sole discretion. We reserve the right in our sole discretion to disqualify any Entry that we believe to be in breach of these Rules or the General Terms.
Rewards: The potential winners of the Challenge will be notified via e-mail at the e-mail address associated with your Udio Account on or about January 8, 2025. Winners may be additionally notified on Instagram via the handle @UdioMusic, or via Discord. Be sure to check your emails and messages closely during this time! You must respond to us within 72 hours of delivery of this notification email to provide any other information we request for you to receive the Reward. We will then verify your eligibility and compliance with these Rules before you are awarded the applicable Reward. We are not responsible for any delay or failure for you to receive notification from us, or for us to fail to receive your response, for any reason, including inactive account, technical difficulties associated therewith, or communications that are undeliverable as a result of any form of active or passive filtering or insufficient space in your email account, or your failure to adequately monitor any account. If you fail to respond to us in the appointed time frame, or if we determine you are not eligible for the Challenge or to receive the Reward, we reserve the right to disqualify you as the winner and select a new winner of such Challenge or re-activate such Challenge (to the extent it previously expired).
Publicity Release: Unless prohibited by applicable law, by submitting an Entry, you agree that, if you are the Winner, the Company can use your name and social media handles to state you are the Winner of the Challenge for programming, advertising, publicity and promotional purposes in any and all media, worldwide and in perpetuity, without compensation or additional consents from you and without prior notice, approval or inspection, and you will execute a specific consent if asked to do so.
Release; Limitation of Liability: The Company Entities are not responsible for and shall not be liable for: (i) misdirected or delayed mail, e-mail or text messages; (ii) telephone, telecommunications, hardware or third party software malfunctions, failures, or difficulties of any kind; (iii) any injuries, losses, or damages of any kind arising in connection with or as a result of participating in the Challenge or possession or use of any Reward; (iv) any incorrect or inaccurate information, whether caused by entrants or by any of the equipment or programming associated with or utilized in the Challenge; (v) any printing or typographical errors in any materials associated with the Challenge; or (vi) any condition caused by events beyond the Company’s control that may cause the Challenge to be disrupted, corrupted or terminated. To the fullest extent permitted by applicable law, you agree to release the Company Entities from any liability whatsoever, and agree not to make any claims against the Company Entities in respect of any costs, injuries, losses or damages of any kind arising out of or in connection with the Challenge or delivery, misdelivery, acceptance, possession, use of or inability to use any Reward, including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether under a theory of contract, tort, warranty or other theory. The laws of certain jurisdictions do not allow the exclusion or limitation of certain damages and if those laws apply to you, some or all of these limitations may not apply to you, and you may have additional rights.
Miscellaneous:
We may terminate your participation in the Challenge at any time. Without limiting the foregoing, we may temporarily or permanently disqualify you from participating in Challenge or void your Entry as a result of your abusive behaviour, tampering with the entry process, fraud, misrepresentation, violation of law or other violation of any of the terms or conditions of these Rules or the General Terms, in each case, as determined by us in our sole discretion.

The name of the winners will be posted on our Website and Social Media channels on or about January 9, 2024 and will remain posted for at least thirty days.
The Challenge is subject to federal, state, and local laws and regulations and is void where prohibited by law.
We may modify these Rules from time to time in which case we will update the “Last Revised” date at the top of these Rules. If we make changes that are material, we will use reasonable efforts to attempt to notify you, such as by e-mail and/or by placing a prominent notice on the first page of the Website or App. However, it is your sole responsibility to review these Rules from time to time to view any such changes. The updated Rules will be effective as of the time of posting, or such later date as may be specified in the updated Rules. Your entry or participation in any Challenge after the modifications have become effective will be deemed your acceptance of the modified Rules. No amendment shall apply to a dispute for which an arbitration has been initiated prior to the change in Rules.
